Estate planning: a little-used clause can protect company management and continuity

The successive administration clause is a legal instrument that allows the owner of an estate to define in advance who will be responsible for managing certain assets or equity interests over time, including after their death. Although it is provided for under Brazilian law, this tool is still rarely used in estate and succession planning.

For business owners, the topic is particularly relevant because this measure can help preserve continuity in management, avoiding periods of uncertainty about who will control strategic assets or stakes in family businesses. In practice, the clause helps reduce the risk of conflicts among heirs, minimize disruptions in business operations, and protect the company’s economic value during transition periods.

By allowing future management to be organized in advance, the instrument strengthens corporate succession planning, bringing greater predictability, security, and stability to assets that depend on efficient and continuous management.
